Abstract:

Management Discussion and Analysis (MD&A) is the only section of the annual report that provides both financial and non-financial information from the eyes of the managers for the sake of investors and other stakeholders. Being such an important section of the annual report, it becomes a need to check the disclosure practices of MD&A followed by the companies in India. In this work, an attempt is made to analyze disclosure practices mainly in terms of format, length, and size provided for MD&A. For this, the content analysis technique is applied. The study concludes that most companies have focused more on segment information related to their operations followed by financial performance, key ratios, risks, and concerns. As per the findings, more forward-looking disclosures should be provided by the companies in their MD&A disclosures.
